1. 服務性質

1.1 本公司提供之服務為單頁式靜態網站(single-page static website)設計及製作服務。

1.2 網站以單頁形式展示,可按客戶內容需要配置不同 section;惟 section 數量須屬合理範圍,本公司有權按內容長度、複雜程度、視覺安排、製作工時及技術需要,決定是否屬原方案範圍或需另行報價。

1.3 本公司所提供之網站主要基於既有設計架構、模板、元件或開發框架製作,並非完全由零開始開發之客製化系統。

1.4 所有網站方案均包含基本手機版顯示適配(responsive design)。

1.5 本公司可按報價單或雙方書面確認內容提供中文版本、英文版本或中英雙語版本網站。

2. 基本服務範圍

2.1 除非報價單、方案頁或雙方書面另有列明,基本服務包括:

  • 1 套單頁式靜態網站
  • 按內容需要配置合理數量之 section
  • 基本視覺排版及內容呈現
  • 網站首次上線 / 基本部署
  • 基本手機版顯示適配
  • WhatsApp 按鈕
  • Instagram / Facebook 或其他社交平台連結(如客戶有提供)

2.2 下列項目不包括於基本服務內,除非報價單另有列明:

  • Contact Form / 聯絡表單
  • Google Map 嵌入或地圖設定
  • 會員系統、購物功能、付款功能、預約系統、後台管理系統
  • 自訂程式功能、資料庫功能、API 串接、互動系統
  • 重新設計整體版面、重做視覺方向、重建網站結構
  • 文案撰寫、翻譯、校對、SEO 顧問服務
  • 商標 / Logo 設計、品牌設計、專業攝影、修圖
  • 搜尋引擎排名保證
  • 客戶自行選擇之 hosting 之設定、管理、維護或技術支援
  • 上線後保養或持續技術支援(除非另有書面約定)

2.3 如客戶要求之內容、section、視覺安排或功能超出本公司原方案之合理範圍,本公司有權另行報價或調整工期。

3. 方案、價格及 Token 機制

3.1 本公司可按當時網站公佈之方案、報價單或雙方書面確認之價格及內容提供服務。

3.2 不同方案所包含之 Token 數量、有效期及加購價格,以本公司網站、報價單或雙方書面確認內容為準。

3.3 1 個 Token = 1 次內容微調提交。所謂「1 次內容微調提交」,指客戶將同一輪希望更新之內容整理後,一次性提交予本公司處理。

3.4 即使同一次提交中包含較多文字、圖片或資料更新,如有關更改純屬內容更新,且不涉及設計、結構、功能或語言版本改動,原則上仍視為使用 1 個 Token。

3.5 如客戶將修改要求零碎地分多次提交(例如多次訊息、分階段補充、反覆新增),本公司有權按實際工作量視作多次提交,並扣除相應 Token。

3.6 Token 只可用於本條款所定義之「內容微調」,不得用於重新設計、結構調整、新增功能、新增語言版本、重新製作或其他超出微調範圍之工作。

3.7 Token 不可轉讓、不可兌現、不可退款、不可折現,不得轉作其他服務用途。

3.8 Token 須於有效期內使用;逾期未使用即自動作廢,不設退款、延期或補發,除非本公司另有書面同意。

3.9 Token 一經使用並完成修改後,不得要求退回、補回、換領或轉作日後使用。

3.10 如客戶不確定某項修改是否屬 Token 可處理範圍,可先向本公司查詢;本公司對有關項目是否屬內容微調或需另行報價,擁有最終決定權。

4. 內容微調之定義

4.1 「內容微調」指在不更改網站整體設計、結構、功能及語言配置之前提下,就現有網站內容作出之更新。

4.2 可視為內容微調之項目包括:文字內容更新;服務介紹、價錢、段落資料修改;圖片替換,包括 banner、相片、作品圖;聯絡資料、地址、營業時間、社交平台連結更新。

4.3 下列項目不屬於內容微調:更改整體版面風格或視覺方向;大幅改動 section 結構、資訊流程或頁面排列;重做介面;新增模組、互動區塊或特殊展示方式;新增功能、第三方服務串接或系統;新增頁面(如已非單頁形式);新增語言版本;將原本單語網站改為雙語網站;任何本公司合理認為超出既有內容更新範圍之工作。

4.4 本公司有權按實際工作性質判斷某項要求是否屬內容微調或需另行報價,客戶同意接受本公司之合理判定。

5. 網站語言版本

5.1 客戶可按方案、報價單或雙方書面確認選擇中文版本、英文版本或中英雙語版本網站。

5.2 如客戶於項目開始時只選擇單一語言版本,其後要求增加另一語言版本,該要求不屬 Token 微調範圍,須另行報價。

5.3 除非另有書面約定,客戶須自行提供所有語言版本之文字內容,本公司不負責翻譯、校對、潤飾或審核內容之準確性、完整性及合法性。

6. 客戶責任及資料提供

6.1 客戶須於支付訂金後,盡快向本公司提供完成網站所需之全部資料,包括但不限於:文字內容;圖片、品牌素材、Logo;聯絡資料;社交平台連結;語言版本內容;domain 相關資料;其他本公司合理要求之資料。

6.2 客戶須確保其提供之資料為真實、正確、完整、最新,並具備合法使用權。

6.3 客戶須於合理時間內回覆本公司查詢、審核設計及確認內容。

6.4 如客戶於支付訂金後六(6)個月內仍未提供足夠資料以供本公司完成項目,本公司有權將該項目視為暫停。

6.5 如項目因客戶原因而暫停,訂金不予退還;本公司是否重新安排檔期、是否收取重新啟動費用、以及是否按最新價格重訂服務內容,均由本公司按當時情況決定。

6.6 因客戶延遲提供資料、延遲回覆、提供錯誤內容、反覆更改要求或其他非本公司原因而引致之任何延誤,本公司概不負責,原定時間表將自動順延。

7. 修改、定稿及驗收

7.1 在網站定稿前,客戶可提出內容或畫面調整意見,本公司會於合理範圍內作出修改。

7.2 雖然定稿前修改次數原則上不設固定上限,但客戶須以真誠、合理及集中方式提出修改意見,不得濫用、拖延、反覆推翻已確認方向,或提出超出原方案範圍之要求。

7.3 如本公司合理認為某些要求已構成以下情況,本公司有權另行報價、重新排期或拒絕有關要求:重大方向改動;重新設計;超出原先協定範圍;不合理或反覆性修改;明顯增加工時或資源投入之要求。

7.4 客戶一經以下任何一種情況,即視為已確認定稿並接納成果:明示確認定稿;明示要求上線;尾款已付清並安排交付;本公司提交最終版本後,客戶於合理時間內未提出具體及明確異議。

7.5 定稿後之任何修改,不包括於原建站流程之內;如屬內容微調,須扣除 Token;如超出微調範圍,則需另行報價。

7.6 客戶應於收到修改完成通知後盡快檢查內容;如客戶確認修改已完成,或本公司已按客戶要求作出修改並交付結果,即視為該次修改服務完成。

8. 付款條款

8.1 除非另有書面協議,客戶須於確認委託後支付 50% 訂金,本公司於收到訂金後開始工作。

8.2 餘下 50% 尾款須於正式上線前付清。

8.3 如客戶未付清尾款,本公司有權:拒絕上線網站;拒絕交付 source code、網站檔案或任何可下載版本;暫停所有後續工作;暫停任何 Token 修改服務;保留追討欠款及其他法律權利。

8.4 除本條款另有列明外,所有已支付款項概不退還。

8.5 如客戶要求增加原協定範圍以外之工作,本公司有權另行報價,並於收到相關付款或確認後才開始額外工作。

9. Domain 及 Hosting

9.1 Domain(網域)須由客戶自行購買、持有及續期。

9.2 為進行首次連接、DNS 設定或網站上線,客戶須按本公司要求提供所需 domain 管理資料。客戶可選擇:向本公司提供相關帳戶登入資料;或自行按照本公司指示完成設定。

9.3 在默認情況下,本公司會將網站部署於本公司所選用之 hosting 環境,而有關 hosting 年費由本公司承擔。

9.4 本公司之基本服務只包括首次 hosting 部署 / 首次上線安排。

9.5 如客戶選擇使用其自有 hosting,本公司原則上不負責:該 hosting 之設定;伺服器環境調整;帳戶建立;權限設定;後續管理、故障排查或技術支援;除非雙方另有書面協議。

9.6 如客戶一開始選擇自行處理 hosting,其後才要求本公司協助部署、搬遷、設定或重新上線,該等服務不包括於原方案內,需另行商議及報價。

9.7 如本公司所選 hosting 供應商之服務中止、系統故障、政策更改、限制、帳戶問題、第三方中斷或其他非本公司可控制因素導致網站暫時無法運作,本公司不承擔由此引起之任何損失、索償、營業影響或其他後果。

9.8 如發生上述情況,本公司可按實際可行情況,盡快協助客戶把網站免費轉移至另一合適之 hosting;惟:搬遷所需時間不作保證;第三方配合不受本公司控制;客戶須配合提供所需資料;downtime、流量損失、營業損失或其他間接後果,本公司概不負責。

10. 上線、交付及完成

10.1 本公司於完成網站製作、獲客戶確認定稿及收妥尾款後,方會安排正式上線或交付。

10.2 本公司原則上不設上線後免費保養期;網站於客戶確認收貨、確認修改完成、正式上線,或本公司已完成交付後,即視為有關服務已完成。

10.3 儘管如此,如網站於交付時出現由本公司直接造成之明顯技術錯誤,本公司可於合理時間內作出基本修正;惟該等修正不構成保養承諾、持續維護義務或額外售後服務。

10.4 客戶其後提出之任何更新、修改、替換內容或新增要求,須按 Token 機制或另行報價處理。

10.5 本公司會於客戶付清全數款項後十四(14)日內向客戶交付最終網站檔案 / source code。

10.6 上述交付僅包括最終交付版本之網站檔案,不包括以下項目,除非雙方另有書面約定:本公司內部製作流程文件;可重複使用模板庫;通用元件庫;開發工具設定;內部腳本;內部部署流程;hosting 帳戶控制權;第三方平台帳戶;本公司保留權利之框架或底層技術資產。

10.7 如客戶未於合理時間內提供接收檔案所需資料或配合交付安排,本公司完成交付準備後,仍可視作已履行交付責任。

11. 知識產權

11.1 客戶保證其提供之文字、圖像、商標、品牌素材、影片、圖像、連結及其他內容,均為其擁有合法權利或已獲合法授權使用。

11.2 如因客戶提供之內容涉及侵權、誹謗、違法、違規、未授權使用或任何第三方索償,客戶須自行承擔全部責任,並須彌償本公司因此遭受之一切損失、索償、責任、費用及開支。

11.3 除客戶原有內容外,網站之設計架構、模板、技術框架、程式結構、通用元件、製作方式及相關底層素材之知識產權,除非另有書面約定,均由本公司保留。

11.4 在客戶付清全數款項後,本公司授予客戶就最終交付網站作其自身業務用途之非獨家使用權。

11.5 除非另有書面約定,客戶並不因付款而取得本公司底層模板、可重複使用元件、通用框架、開發方法、系統邏輯或其他可重用技術資產之完整所有權。

11.6 本公司有權將已完成之網站作品用作作品集、案例展示、宣傳推廣或市場營銷用途,除非雙方另有書面約定。

12. 搜尋引擎、相容性及第三方服務

12.1 本公司不保證網站於任何搜尋引擎之自然排名、曝光量、流量、點擊率、轉換率或商業成果。

12.2 本公司亦不保證任何第三方服務、平台、瀏覽器、裝置、外掛、DNS、CDN、社交平台、分析工具或外部連結在任何時間均能持續穩定、完全兼容或永久可用。

12.3 因第三方服務供應商之問題、政策變動、帳戶限制、伺服器故障、DNS 傳播、瀏覽器更新或其他外部因素所導致之任何功能異常、延誤、停機或損失,本公司概不負責。

13. 責任限制

13.1 在適用法律容許之最大範圍內,本公司不對任何間接損失、附帶損失、後果性損失、資料損失、收入損失、利潤損失、商譽損失、業務中斷或預期利益損失承擔責任。

13.2 本公司就任何項目、服務、爭議或索償向客戶承擔之最高責任總額,以客戶就有關服務實際支付予本公司之費用總額為上限。

13.3 本公司不對以下情況負責:客戶未有備份資料;客戶提供錯誤、過時或侵權內容;客戶自行修改網站或交由第三方修改;客戶自行設定或管理 domain / hosting;第三方平台之故障、政策變動或限制;因客戶延遲回覆或未依本公司指示操作而產生之問題。

14. 暫停、終止及退款

14.1 如客戶違反本條款、拖欠款項、拒絕合作、長期未回覆、未提供必要資料,或提出本公司合理認為不當、不合理或超出原協定範圍之要求,本公司有權暫停或終止服務。

14.2 如服務因客戶原因被暫停或終止,已支付之訂金及其他費用概不退還。

14.3 如客戶於項目進行中主動要求終止,本公司有權按已完成工作比例、已投入時間、已產生成本及已預留資源收取相應費用;如已支付款項不足以抵扣,客戶仍須支付差額。

14.4 項目終止後,未使用之 Token 一律不獲退款、不獲轉讓、不獲延期或補發,除非本公司另有書面同意。

15. 一般條款

15.1 本條款應與報價單、方案頁、訊息確認內容及 invoice 一併理解。如內容有抵觸,除非另有書面指明,文件優先次序如下:雙方書面簽署之補充協議;報價單 / 服務確認書;本網站設計服務條款;官方方案頁 / 價目表;invoice。

15.2 本公司可不時修訂本條款;惟已確認之項目,一般以客戶確認委託當日適用之版本為準。

15.3 如本條款任何條文被認定為無效、非法或不可執行,不影響其餘條文之有效性及可執行性。

15.4 本條款以繁體中文版本為準;如設有英文版本而與中文版本有歧異,概以繁體中文版本為準。

15.5 本條款受香港特別行政區法律管轄,雙方同意受香港法院之專屬管轄。

Website Design Service Terms

1. Nature of Services

1.1 The Company provides single-page static website design and production services.

1.2 The website is presented in a single-page format and may include different sections as required by the client's content needs. The number of sections must remain within a reasonable scope. The Company may determine, based on content length, complexity, visual arrangement, production time, and technical requirements, whether the request falls within the original package or requires a separate quotation.

1.3 The websites provided by the Company are mainly built on existing design structures, templates, components, or development frameworks, rather than fully custom systems developed from scratch.

1.4 All website packages include basic mobile responsiveness.

1.5 The Company may provide Chinese, English, or bilingual websites according to the quotation or written confirmation between both parties.

2. Basic Service Scope

2.1 Unless otherwise stated in the quotation, plan page, or written confirmation, the basic service includes:

  • One single-page static website
  • A reasonable number of sections based on content needs
  • Basic visual layout and content presentation
  • Initial website launch / basic deployment
  • Basic mobile responsiveness
  • WhatsApp button
  • Instagram / Facebook or other social media links (if provided by the client)

2.2 The following are not included in the basic service unless otherwise stated in the quotation:

  • Contact form
  • Google Maps embed or map setup
  • Membership systems, e-commerce functions, payment functions, booking systems, or admin panels
  • Custom programming, database functions, API integration, or interactive systems
  • Full redesign, new visual direction, or rebuilding of the website structure
  • Copywriting, translation, proofreading, or SEO consulting
  • Trademark / logo design, branding, professional photography, or retouching
  • Guarantees of search engine ranking
  • Setup, management, maintenance, or technical support for client-selected hosting
  • Post-launch maintenance or ongoing technical support unless otherwise agreed in writing

2.3 If the requested content, section count, visual arrangement, or functionality exceeds the reasonable scope of the original package, the Company may issue a separate quotation or adjust the delivery schedule.

3. Packages, Pricing, and Token Mechanism

3.1 The Company may provide services based on the packages, quotations, or written price and scope confirmation in effect at the time.

3.2 The number of Tokens included in each package, their validity period, and top-up pricing shall be governed by the Company's website, quotation, or written confirmation between both parties.

3.3 One Token equals one content update submission. A “content update submission” means the client organizes the requested updates for the same round and submits them to the Company in one batch.

3.4 Even if one submission contains multiple text, image, or data changes, it will generally still be treated as one Token if the changes are purely content updates and do not involve design, structure, functionality, or language-version changes.

3.5 If the client submits update requests in fragmented batches (for example, multiple messages, phased additions, or repeated additions), the Company may treat them as multiple submissions based on actual workload and deduct the corresponding Tokens.

3.6 Tokens may only be used for “content updates” as defined in these Terms and may not be used for redesigns, structural changes, new features, new language versions, rebuilds, or other work outside the scope of content updates.

3.7 Tokens are non-transferable, non-cashable, non-refundable, and non-exchangeable, and may not be used for other services.

3.8 Tokens must be used within their validity period. Any unused Token will expire automatically without refund, extension, or replacement unless the Company agrees otherwise in writing.

3.9 Once a Token has been used and the update has been completed, it cannot be reclaimed, restored, exchanged, or reserved for future use.

3.10 If the client is unsure whether a request falls within Token scope, the client may first consult the Company. The Company has the final decision on whether the request qualifies as a content update or requires a separate quotation.

4. Definition of Content Updates

4.1 “Content updates” means updating existing website content without changing the overall design, structure, functionality, or language configuration of the website.

4.2 Items that may be considered content updates include text updates; service descriptions, pricing, and paragraph edits; image replacements including banners, photos, and portfolio images; and updates to contact details, addresses, business hours, and social media links.

4.3 The following are not content updates: changes to overall layout style or visual direction; major changes to section structure, information flow, or page arrangement; UI redesigns; new modules, interactive blocks, or special display methods; new functionality, third-party integrations, or systems; new pages if the site is no longer a single-page site; new language versions; converting a monolingual site into a bilingual site; and any work the Company reasonably considers outside the existing content update scope.

4.4 The Company may determine, based on the actual nature of the work, whether a request qualifies as a content update or requires a separate quotation. The client agrees to accept the Company's reasonable determination.

5. Website Language Versions

5.1 The client may choose a Chinese version, English version, or bilingual website according to the package, quotation, or written confirmation between both parties.

5.2 If the client initially selects only one language version and later requests an additional language version, that request is outside the scope of Token updates and will require a separate quotation.

5.3 Unless otherwise agreed in writing, the client must provide all copy for each language version. The Company is not responsible for translation, proofreading, polishing, or verifying the accuracy, completeness, or legality of the content.

6. Client Responsibilities and Content Provision

6.1 After paying the deposit, the client shall promptly provide all materials needed to complete the website, including but not limited to text content, images, brand assets, logos, contact details, social media links, language-version content, domain-related information, and any other information reasonably requested by the Company.

6.2 The client must ensure that all materials provided are true, correct, complete, current, and lawfully usable.

6.3 The client must respond within a reasonable time to the Company's questions, design review requests, and content confirmations.

6.4 If the client still has not provided sufficient materials to allow the Company to complete the project within six (6) months after paying the deposit, the Company may treat the project as suspended.

6.5 If the project is suspended due to the client, the deposit is non-refundable. Whether the Company will reschedule the project, charge a reactivation fee, or reprice the service under updated pricing will be determined by the Company based on the circumstances at the time.

6.6 The Company is not responsible for delays caused by late content delivery, delayed responses, incorrect materials, repeated changes, or any other reasons not attributable to the Company. The original schedule will be extended automatically.

7. Revisions, Final Approval, and Acceptance

7.1 Before the website is finalized, the client may provide reasonable content or visual revision requests, and the Company will make revisions within a reasonable scope.

7.2 There is generally no fixed limit on revision rounds before final approval, but the client must submit feedback in good faith, reasonably, and in a consolidated manner. The client must not abuse the process, cause delays, repeatedly reverse confirmed directions, or request work outside the original package.

7.3 If the Company reasonably considers that certain requests amount to a major directional change, redesign, work outside the original agreement, unreasonable or repetitive revisions, or a request that materially increases time or resource input, the Company may issue a separate quotation, reschedule, or reject such request.

7.4 The client will be deemed to have approved the final version and accepted the result upon any of the following: express confirmation of final approval; express request for launch; full payment of the balance and arrangement of delivery; or failure to raise a specific and clear objection within a reasonable time after the Company submits the final version.

7.5 Any changes requested after final approval are outside the original website build process. If the request qualifies as a content update, a Token will be deducted; if it falls outside the scope of a content update, a separate quotation will be required.

7.6 The client should review the updated content as soon as possible after receiving the completion notice. If the client confirms completion, or the Company has made the requested revisions and delivered the result, the revision service will be deemed completed.

8. Payment Terms

8.1 Unless otherwise agreed in writing, the client must pay a 50% deposit after confirming the engagement, and the Company will begin work upon receipt of the deposit.

8.2 The remaining 50% balance must be paid in full before the website is launched.

8.3 If the balance remains unpaid, the Company may refuse to launch the website, refuse to deliver the source code, website files, or any downloadable version, suspend all further work, suspend any Token-based update service, and retain all rights to recover the debt and pursue other legal remedies.

8.4 Except as otherwise stated in these Terms, all payments made are non-refundable.

8.5 If the client requests work beyond the agreed scope, the Company may issue a separate quotation and will only begin the additional work after receiving the relevant payment or confirmation.

9. Domain and Hosting

9.1 The domain must be purchased, owned, and renewed by the client.

9.2 For the initial connection, DNS setup, or website launch, the client must provide the necessary domain management information upon request. The client may either provide the relevant account login credentials to the Company or complete the setup themselves according to the Company's instructions.

9.3 By default, the Company will deploy the website on the hosting environment selected by the Company, and the annual hosting fee will be borne by the Company.

9.4 The Company's basic service only includes the initial hosting deployment / initial launch arrangement.

9.5 If the client chooses to use their own hosting, the Company is generally not responsible for hosting setup, server environment adjustments, account creation, permission settings, ongoing administration, troubleshooting, or technical support unless otherwise agreed in writing.

9.6 If the client initially chooses to handle hosting themselves and later asks the Company to assist with deployment, migration, setup, or relaunch, such services are not included in the original package and must be separately negotiated and quoted.

9.7 If the service of the hosting provider selected by the Company is suspended, experiences system failure, policy changes, restrictions, account issues, third-party interruptions, or any other factors beyond the Company's control that cause the website to become temporarily unavailable, the Company shall not be liable for any resulting loss, claim, business impact, or other consequence.

9.8 If such an event occurs, the Company may, where practically possible, assist the client in transferring the website to another suitable hosting provider at no charge. However, no timeline for migration is guaranteed, third-party cooperation is outside the Company's control, the client must provide the necessary information, and the Company is not responsible for downtime, traffic loss, business loss, or other indirect consequences.

10. Launch, Delivery, and Completion

10.1 The Company will arrange formal launch or delivery only after the website is completed, the client has approved the final version, and the balance has been received.

10.2 The Company generally does not provide a free post-launch maintenance period. The service will be deemed complete once the client confirms receipt, confirms completion of revisions, the website is officially launched, or the Company has completed delivery.

10.3 If a clear technical error directly caused by the Company is found at delivery, the Company may make a basic correction within a reasonable time. Such correction does not create any maintenance promise, ongoing support obligation, or additional after-sales service.

10.4 Any later updates, revisions, replacements, or additional requests must be handled under the Token mechanism or through a separate quotation.

10.5 The Company will deliver the final website files / source code to the client within fourteen (14) days after full payment has been received.

10.6 The above delivery includes only the final website files and does not include the following unless otherwise agreed in writing: internal production documents, reusable template libraries, general component libraries, development tool configurations, internal scripts, internal deployment processes, hosting account control, third-party platform accounts, or framework / underlying technical assets reserved by the Company.

10.7 If the client does not provide the information required for receiving the files or does not cooperate with delivery arrangements within a reasonable time, the Company may still be deemed to have fulfilled its delivery obligation once delivery preparation has been completed.

11. Intellectual Property

11.1 The client warrants that all text, images, trademarks, brand assets, videos, graphics, links, and other content provided by the client are either owned by the client or lawfully licensed for use.

11.2 If any content provided by the client involves infringement, defamation, illegality, violation, unauthorized use, or any third-party claim, the client shall bear full responsibility and shall indemnify the Company against all loss, claims, liabilities, fees, and expenses suffered as a result.

11.3 Except for the client's own content, the intellectual property rights in the website's design structure, templates, technical framework, code structure, general components, production methods, and related underlying materials shall remain with the Company unless otherwise agreed in writing.

11.4 Upon full payment, the Company grants the client a non-exclusive right to use the final delivered website for the client's own business purposes.

11.5 Unless otherwise agreed in writing, payment does not transfer full ownership of the Company's underlying templates, reusable components, general frameworks, development methods, system logic, or other reusable technical assets to the client.

11.6 The Company may use completed websites for portfolio, case studies, promotion, or marketing purposes unless otherwise agreed in writing.

12. Search Engines, Compatibility, and Third-Party Services

12.1 The Company does not guarantee any natural ranking, exposure, traffic, click-through rate, conversion rate, or commercial result on any search engine.

12.2 The Company also does not guarantee that any third-party service, platform, browser, device, plugin, DNS, CDN, social platform, analytics tool, or external link will remain stable, fully compatible, or permanently available at all times.

12.3 The Company shall not be liable for any malfunction, delay, downtime, or loss caused by third-party service issues, policy changes, account restrictions, server failures, DNS propagation, browser updates, or other external factors.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, data, revenue, profit, goodwill, business interruption, or expected benefit losses.

13.2 The Company's total maximum liability for any project, service, dispute, or claim shall be limited to the total fees actually paid by the client for the relevant service.

13.3 The Company is not responsible for the following: failure by the client to back up data; incorrect, outdated, or infringing content provided by the client; website modifications made by the client or by any third party; domain / hosting setup or management carried out by the client; third-party platform failures, policy changes, or restrictions; and issues arising from delayed responses or failure to follow the Company's instructions.

14. Suspension, Termination, and Refunds

14.1 If the client breaches these Terms, delays payment, refuses to cooperate, fails to respond for a long time, fails to provide necessary materials, or makes requests that the Company reasonably considers improper, unreasonable, or outside the original agreement, the Company may suspend or terminate the services.

14.2 If the service is suspended or terminated due to the client, the deposit and any other fees paid will not be refunded.

14.3 If the client requests termination during the project, the Company may charge according to the proportion of work completed, time spent, costs incurred, and resources reserved. If the payments already made are insufficient to cover such amount, the client shall pay the difference.

14.4 After termination, any unused Token will not be refunded, transferred, extended, or reissued unless the Company agrees otherwise in writing.

15. General Terms

15.1 These Terms shall be read together with the quotation, plan page, message confirmations, and invoice. If there is any conflict, and unless otherwise stated in writing, the order of priority shall be: any supplementary agreement signed in writing by both parties; quotation / service confirmation; these Website Design Service Terms; the official plan page / price list; and the invoice.

15.2 The Company may revise these Terms from time to time. However, for confirmed projects, the version generally in effect on the date the client confirmed the engagement shall apply.

15.3 If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the validity and enforceability of the remaining provisions shall not be affected.

15.4 The Traditional Chinese version of these Terms shall prevail. If an English version exists and differs from the Traditional Chinese version, the Traditional Chinese version shall govern.

15.5 These Terms are governed by the laws of the Hong Kong Special Administrative Region, and both parties agree to the exclusive jurisdiction of the courts of Hong Kong.
